Partner Marketing Platform

 

1. Preamle

The contractual partner has integrated its digital marketing partners into the Partner Marketing Platform. Commission payments based on confirmed sales of the contractual partner are carried out by Ingenious Technologies as a service and settled within the Partner Marketing Platform.

Ingenious Technologies AG acts exclusively as a service provider for the contractual partner and has no contractual relationship with the digital marketing partners of the contractual partner. The contractual partner is solely liable to its marketing partners and is responsible for communication.

 

2. Rights and obligations of Ingenious Technologies AG

Ingenious Technologies will process partner commission payments on behalf of the contractual partner as soon as the contractual partner has transferred the invoiced amounts in full to the bank account specified by Ingenious Technologies AG. Ingenious Technologies will not transfer partner commission if the contractual partner has not transferred the full amount of all partner commissions to be paid (deposit). Ingenious Technologies AG will use the data provided by the contractual partner to make the payments of confirmed credits notes/invoices. Ingenious Technologies AG is not obligated to re-check this data. If payments to contractual partner accounts are not feasible (e.g. due to missing or incorrect IBAN/BIC information in the master data) or are returned to Ingenious Technologies, the contractual partner will be informed accordingly. A new transfer will only take place upon request by the contractual partner.

 

3. Rights and obligations of Contractual partner

The contractual partner will manage its partners on its own responsibility. The contractual partner processes the correct data of all partners and their bank details exclusively within the Partner Marketing Platform of Ingenious Technologies AG. The responsibility for providing correct data of partners, including bank details, lies exclusively with the contractual partner. Any damage that could result from incorrect partner or bank data is the sole responsibility of the contractual partner. All costs (e.g. bank fees) arising from failed transactions for any reason are the responsibility of the contractual partner.

 

4. Process flow

In order to ensure that payments are processed promptly, the contractual partner must execute and ensure the following procedure:

1. The approval of partner commissions (from conversions) or transactions (bonuses).
2. The validation of advertiser invoices, which are created according to the above mentioned approval.
3. The validation of partner credit notes, which are created according to the above mentioned commission approval.
4. Advance payment of all approved commissions or transactions for the applicable billing period.

 

3. Special rules

Ingenious Technologies AG is entitled to transfer this service to a third party. This transfer must be announced to the contractual partner one month in advance.
